HTD Media360 Ltd: Terms & Agreements
1. Agreement to Terms
By accessing or using this website and/or commissioning or using our services, you (“you”, “Client”, or “User”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please do not use the website or our services.
2. Services
HTD Media360 Ltd provides services in hidden-talent development in music, film, podcasting, internet radio, worship facilitation, community-space rental and related media production, training and support. The scope, deliverables, fees, timelines and any specific terms of each individual service or contract will be confirmed in writing (proposal, quotation or service-agreement) prior to commencement.
3. Client Obligations
You are responsible for providing accurate information, gaining any required permissions (e.g., location access, talent releases, rights from third parties), ensuring availability of agreed personnel or facilities, cooperating reasonably with HTD Media360 Ltd’s requests, and paying fees in accordance with the agreed schedule.
4. Fees, Billing & Payment
Fees for services will be set out in the contract or quotation. Unless otherwise agreed in writing:
- Payment is due within [specify number] days of invoice.
- Late payments may incur interest or additional charges.
- Additional services or variations requested by you (that go beyond the scope) will be charged separately and require your written approval.
- HTD Media360 Ltd may suspend or cease provision of services if payment obligations are not met.
5. Intellectual Property & Usage Rights
This is a key clause given your media- and creative-services work:
5.1 Ownership
All content created by HTD Media360 Ltd (including, but not limited to: video recordings, audio, photography, podcasts, training materials, scripts, designs, graphics, branding, software, internet-radio streams, website code) remain the **exclusive property** of HTD Media360 Ltd (or its licensors) **unless otherwise agreed in writing.**
This clause applies even after full payment, unless the service agreement explicitly provides for an assignment or transfer of ownership.
5.2 Grant of Licence
Upon full payment of all applicable fees and subject to these Terms, HTD Media360 Ltd grants you a **non-exclusive, non-transferable licence** to use the delivered content for your organisation’s internal and external promotional, educational or community purposes as agreed (e.g., for your charity or academy).
This licence **does not** permit you to resell, sublicence, distribute commercially, or assign rights to third parties, unless HTD Media360 Ltd grants express written consent.
5.3 Third-Party Rights & Releases
- You must ensure that any third-party talent, location, music, imagery or other materials used in the production have all required rights, releases, permissions and licences. You indemnify HTD Media360 Ltd against any claims arising from lack of such permissions.
- If you provide materials (for example music, logos, images) to HTD Media360 Ltd for inclusion, you represent that you own or have the necessary rights/licences to use them, and you grant HTD Media360 Ltd a licence to incorporate them into the deliverables.
5.4 Moral Rights & Credits
- You acknowledge that authors or contributors to the content may have moral-rights (e.g., attribution). HTD Media360 Ltd will, where reasonable, credit its work in the manner agreed, and you will respect those credits.
- You will not remove, obscure or alter any credit or copyright notice embedded in the deliverables without HTD Media360 Ltd’s prior written approval.
5.5 Use Restrictions & Prohibited Acts
- Unless written permission is obtained, you must not modify, adapt, reverse-engineer, translate, decompile, or create derivative works of the deliverables beyond what is agreed.
- You must not incorporate the deliverables into any other product for sale, lease or licence, or use them for purposes other than those specified in the service agreement.
- If you wish to use the content for a new purpose or a broader licence (e.g., commercial distribution, third-party sublicences, broadcasting), you must obtain a separate licence from HTD Media360 Ltd and pay the applicable fee.
6. Confidentiality
Any non-public information you disclose in connection with our services is treated as confidential. Both parties agree not to disclose such information to third parties without prior written consent, except as required by law.
7. Limitation of Liability & Warranties
HTD Media360 Ltd will perform services with reasonable skill and care. However, you agree that the services and content are provided “as-is” and “as-available”.
Except as required by law, HTD Media360 Ltd gives no other warranties (express or implied), including regarding suitability for a particular purpose, non-infringement or accuracy.
HTD Media360 Ltd’s total liability for any claim arising out of these Terms shall be limited to the total fees paid by you for the particular service giving rise to the claim. HTD Media360 Ltd shall not be liable for indirect, special, incidental or consequential loss (including loss of profits, data or goodwill).
8. Termination & Suspension
Either party may terminate the service agreement in accordance with the notice provisions in that agreement.
HTD Media360 Ltd may suspend or terminate provision of services or access to deliverables if you breach these Terms (including failure to pay, misuse of content, or violation of IP rights).
Upon termination, you must cease use of any content that is outside the licence granted, and you must, if requested, destroy or return materials as directed.
9. Changes to Terms
HTD Media360 Ltd may modify these Terms from time to time. The revised Terms will be published on the website and will apply to services commissioned after the date of revision. Continued use of services after a revision constitutes acceptance of the new Terms.
10. Governing Law & Jurisdiction
These Terms are governed by the laws of England & Wales. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England & Wales.
11. Data Protection & Privacy
Your use of our website and services also falls under our Privacy Policy (link to your Privacy Policy page). By accepting these Terms, you consent to HTD Media360 Ltd processing your personal data in accordance with the Privacy Policy.
12. Severability & Entire Agreement
If any provision of these Terms is found invalid or unenforceable, that provision shall be struck out and the rest of the Terms shall remain in force. These Terms, together with the service agreement or quotation, represent the entire understanding between you and HTD Media360 Ltd in relation to the services.
Important Booking & Payment Notice
All bookings for use of the HTD Media360 Auditorium must be paid directly into the official HTD Media360 Ltd bank account. All invoices must be issued under HTD Media360 Ltd. HTD Media360 Ltd will not be held liable in the event of cancellation, disruption, or any other eventualities relating to third‑party bookings or payments not made through the official company channels.
